Definitions
In these Terms and Conditions, “Client” or “you” refers to any individual or entity that accesses our website or engages our services. “Services” refers to all business setup, company formation, trade licensing, visa processing, PRO services, corporate compliance, and any other services offered by YABS. “Agreement” refers to any service agreement, proposal, or engagement letter executed between you and YABS, together with these Terms and Conditions. “Government Authorities” refers to any UAE federal, emirate-level, or free zone authority involved in the processing of your applications, including but not limited to the Department of Economic Development (DED), free zone authorities, the Federal Authority for Identity and Citizenship (ICP), and the General Directorate of Residency and Foreigners Affairs (GDRFA).
Services We Provide
YABS provides a range of business setup and corporate services in the UAE, including but not limited to: mainland company formation and DED trade licence registration; free zone company setup across multiple UAE free zones including DMCC, IFZA, Meydan Free Zone, RAKEZ, SHAMS, JAFZA, and others; offshore company registration; trade licence issuance, renewal, and amendment; visa processing including investor visas, employment visas, and family sponsorship; Emirates ID and medical fitness applications; document attestation and legalisation; corporate bank account opening assistance; PRO services including labour card processing, establishment card issuance, and immigration services; and ongoing compliance and regulatory support.
Client Obligations
As a client of YABS, you agree to the following obligations: you shall provide accurate, complete, and truthful information and documentation required for the processing of your applications; you shall promptly respond to requests for additional information or documentation; you understand that providing false or misleading information may result in the rejection of your applications by Government Authorities and may constitute a criminal offence under UAE law; you shall make all payments in accordance with the agreed payment terms; you shall comply with all applicable UAE laws, regulations, and free zone rules relevant to your business activities; and you acknowledge that you are solely responsible for the legality of your intended business activities in the UAE.
Fees and Payment Terms
All service fees are quoted in UAE Dirhams (AED) unless otherwise specified. Fees are based on the scope of services agreed upon at the time of engagement and are subject to change based on government fee revisions or changes in scope. A deposit or advance payment may be required before commencement of services. Government fees, authority charges, and third-party costs are separate from our service fees and are payable by the client. All payments are due within the timeframe specified in your service agreement or invoice. Late payments may attract a late payment charge as specified in your agreement. Refund policies are governed by the specific terms of your service agreement.
Government Authority Decisions
You acknowledge and agree that all approvals, licences, visas, and permits are issued at the sole discretion of the relevant UAE Government Authorities. YABS acts as a facilitator and service provider and does not guarantee the approval of any application. Decisions made by Government Authorities are final and beyond our control. In the event that an application is rejected by a Government Authority, YABS shall not be liable for any losses, damages, or additional costs incurred as a result of such rejection, provided we have performed our services with reasonable care and diligence. Government processing times are estimates only and may vary. YABS is not responsible for delays caused by Government Authorities or changes in regulations.
Limitation of Liability
To the maximum extent permitted by UAE law, YABS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with our services, including but not limited to loss of profits, business opportunities, data, or goodwill. Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim. Nothing in these Terms shall exclude or limit our liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable UAE law.
Intellectual Property
All content on our website, including text, graphics, logos, images, and software, is the property of YABS or its content suppliers and is protected by UAE and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent. The YABS name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of YABS. You may not use such marks without our prior written permission.
Confidentiality
Both parties agree to maintain the confidentiality of all information exchanged during the course of the business relationship. YABS shall treat all client documents, financial information, and personal data with strict confidentiality and shall not disclose such information to third parties except as required for the performance of our services (such as submission to Government Authorities) or as required by UAE law. This obligation of confidentiality shall survive the termination of our business relationship.
Termination
Either party may terminate the service engagement by providing written notice to the other party. Upon termination, the client shall be liable for payment of all fees for services rendered up to the date of termination, including any government fees already incurred. YABS shall return all original client documents upon termination, subject to the settlement of outstanding fees. Certain services, once initiated with Government Authorities, may not be reversible, and the client acknowledges that fees paid for such services may not be refundable.
Website Use
By using our website, you agree not to use our website for any unlawful purpose or in any way that could damage, disable, or impair the website; not to attempt to gain unauthorised access to any part of our website or its related systems; not to use any automated system, including robots, spiders, or scrapers, to access our website for any purpose without our express written permission; and not to introduce any viruses, trojans, worms, or other malicious code to our website. We reserve the right to restrict or terminate access to our website at any time without notice.
